These Terms & Conditions ("Terms") form a binding agreement between you and Go Gifters, LLC ("Go Gifters," "we," "us," or "our"), a limited liability company organized in North Dakota, USA, governing your access to and use of the Go Gifters website, mobile experiences, and related services (collectively, the "Service").

1. Acceptance of these terms

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you are an individual, you represent that you are of legal age in your jurisdiction.

2. The service

Go Gifters helps individuals and households remember important occasions, build recipient profiles, share wish lists, and surface tailored gift ideas. Features vary by plan and may change as we improve the Service.

3. Your account

• You must provide accurate information and keep it up to date.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• Notify us promptly at hello@gogifters.com of any unauthorized use.

4. Acceptable use

You agree not to misuse the Service. You will not:

• Use the Service for any unlawful, fraudulent, or harmful purpose, including spam or harassment.
• Infringe the intellectual-property or privacy rights of any person.
• Probe, scan, scrape, or otherwise interfere with the security or integrity of the Service, or attempt to bypass rate limits, access controls, or technical restrictions.
• Upload malware, exploit vulnerabilities, or reverse-engineer the Service.
• Resell or redistribute the Service without our written consent.

5. User content

You retain ownership of the content you submit (recipient profiles, wish lists, notes, etc.). You grant Go Gifters a limited, worldwide, non-exclusive license to host, store, and process that content solely to operate and improve the Service for you.

6. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by Go Gifters, LLC and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan and these Terms. All rights not expressly granted are reserved.

7. Subscriptions, billing, and refunds

Payments are processed by Stripe, which handles billing, tax calculation and collection, receipts, refunds, and dispute handling on our behalf. Card details are collected and stored by Stripe; we do not store full payment-card numbers on our systems. Refunds are governed by our Refund Policy.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel anytime from your account settings; cancellation takes effect at the end of the then-current billing period.

8. Service availability

We work hard to keep the Service running, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time.

9. Suspension and termination

We may suspend or terminate your access to the Service for: (a) material breach of these Terms, (b) non-payment, (c) suspected security or fraud risk, or (d) repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends; we will provide a reasonable window for you to export your data before deletion, except where prohibited by law.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, in no event will Go Gifters, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the amounts you paid for the Service in the twelve months preceding the claim, or (b) USD $100. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud or personal injury caused by negligence).

12. Indemnification

You will indemnify and hold harmless Go Gifters, LLC and its officers, employees, and agents from any claims arising from (a) your content, (b) your misuse of the Service, or (c) your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of the State of North Dakota, USA, without regard to conflict-of-laws principles. The state and federal courts located in North Dakota will have exclusive jurisdiction over any dispute arising out of or related to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to these terms

We may update these Terms from time to time. If changes are material, we will notify you (for example, by email or in-app notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms, together with our Privacy Notice and Refund Policy, are the entire agreement between you and us regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions will remain in effect. Neither party is liable for delays caused by events beyond reasonable control (force majeure).
